Terms & Conditions A11y Digital Tech Private Limited

Welcome to A11y Digital Tech Private Limited. These Terms and Conditions govern your use of our accessibility compliance, digital publishing, and software development services. By engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding with any service engagement.

1. Definitions

"Company", "We", "Us", "Our" refers to A11y Digital Tech Private Limited, a digital accessibility and publishing services company registered in India.

"Client", "You", "Your" refers to the individual or organization engaging our services.

"Services" refers to accessibility compliance, PDF remediation, EPUB production, XML/JATS publishing, assistive format production, SaaS development, and related digital publishing services provided by A11y Digital Tech.

"Deliverables" refers to the completed work products, documents, files, or software provided to the Client as part of the agreed services.

2. Services & Engagement

A11y Digital Tech provides professional services in the following areas:

• Accessibility Compliance: WCAG, ADA, Section 508, and EAA compliance audits, remediation, and validation services.
• Digital Publishing: PDF remediation, EPUB3 production, XML/JATS conversion, and multi-format content delivery.
• Assistive Formats: Braille transcription, DAISY audio books, large print, and tactile graphics production.
• SaaS & Automation: Custom software development, publishing automation tools, and accessibility validation platforms.

Services are provided based on written agreements, statements of work (SOW), or purchase orders. Project scope, deliverables, timelines, and pricing are defined before work commences. Any changes to scope require mutual written agreement.

3. Payment Terms

Payment terms are specified in individual service agreements or invoices. Standard terms include:

• Project-based pricing: Payment milestones are defined in the SOW. Typically, 50% advance payment is required before project commencement, with the balance due upon delivery.
• Hourly/monthly retainer: Invoices are issued monthly with payment due within 15 days of invoice date.
• Payment methods: We accept bank transfers, online payments, and other methods as agreed in writing.
• Late payments: Late payments may incur interest charges and may result in suspension of services until payment is received.
• Currency: All prices are quoted in INR (Indian Rupees) or USD as specified in agreements.

4. Intellectual Property

Intellectual property rights are defined as follows:

Client-Provided Materials:

• The Client retains all rights to source materials, content, and intellectual property provided to A11y Digital Tech for processing.
• By engaging our services, the Client grants A11y Digital Tech a temporary license to process, modify, and deliver the materials as required to fulfill the service agreement.

Deliverables:

• Upon full payment, the Client receives full rights to use the deliverables (accessible PDFs, EPUBs, XML files, remediated content, etc.) for their intended purpose.
• For custom software development, intellectual property ownership is specified in the SOW. Typically, the Client owns the final application code, while A11y Digital Tech may retain rights to underlying frameworks and tools.

Proprietary Tools: A11y Digital Tech retains all rights to proprietary tools, methodologies, templates, and internal processes used to deliver services.

5. Confidentiality

A11y Digital Tech is committed to maintaining the confidentiality of Client information:

• Confidential Information: All materials, content, documents, and information provided by the Client are treated as confidential and are not shared with third parties without explicit written consent.
• Data Security: We implement industry-standard security measures to protect Client data during processing, storage, and transmission.
• Non-Disclosure: Our team members and contractors are bound by confidentiality agreements and are prohibited from disclosing Client information.
• Data Retention: Client materials are retained only as long as necessary to fulfill services and are securely deleted upon project completion, unless otherwise agreed.
• NDA Agreements: For projects requiring additional confidentiality, we are willing to execute separate Non-Disclosure Agreements (NDAs).

6. Limitation of Liability

A11y Digital Tech provides services with professional care and expertise. However:

• We are not liable for any indirect, consequential, or incidental damages arising from our services.
• Our total liability for any claim is limited to the amount paid for the specific service in question.
• Accessibility compliance is based on current standards at the time of delivery. Standards may evolve, and ongoing maintenance may be required.

7. Termination

Either party may terminate service agreements with written notice as specified in the SOW. Upon termination:

• The Client is responsible for payment for all work completed up to the termination date.
• Deliverables completed prior to termination will be provided to the Client upon receipt of payment.
• Confidentiality obligations continue beyond termination.

8. Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes arising from service agreements shall be resolved through arbitration in Chennai, Tamil Nadu, India.
